Affiliate Agreement

AFFILIATE PROGRAM AGREEMENT & CODE OF CONDUCT

This Affiliate Agreement (“Agreement”) governs participation in the The Pink Socialite Affiliate Program (“Program”).

By applying to or participating in the Program, you (“Affiliate,” “you”) enter into a legally binding agreement with The Pink Socialite, registered with the Chamber of Commerce in Amsterdam, The Netherlands (KVK 76419290).

This Agreement applies to the promotion of services offered by The Pink Socialite, including services provided under the name The Reputation Concierge.

1. PROGRAM APPLICATION

Affiliates must provide accurate, complete, and truthful information when applying.

The Pink Socialite reserves the right to:

Accept or reject applications at its discretion
Request additional information for compliance purposes

You consent to being contacted regarding Program participation.

2. AFFILIATE OBLIGATIONS & CONDUCT

Affiliates must act in good faith and in compliance with applicable EU and national laws, including consumer protection and advertising regulations.

2.1 No Paid Advertising

Affiliates may not promote The Pink Socialite or The Reputation Concierge through paid advertising, including but not limited to:

Google Ads
Meta / Facebook / Instagram Ads
TikTok Ads
Native or display advertising networks

Organic promotion only.

2.2 Truthful Representation

Affiliates may not:

Impersonate The Pink Socialite or claim to be an employee or official partner
Make false, misleading, or unsubstantiated claims
Guarantee results, income, reviews, ratings, or outcomes

All promotional statements must be factual, verifiable, and proportionate, in line with the EU Unfair Commercial Practices Directive (2005/29/EC).

3. DISCLOSURE & TRANSPARENCY (MANDATORY)

Affiliates must clearly disclose their commercial relationship before or at the time of promotion, in compliance with EU consumer transparency rules.

Disclosure must be:

Clear
Immediately visible
Understandable to the average consumer

Acceptable examples:

“Advertentie”
“Affiliate link”
“Betaalde samenwerking met The Pink Socialite”
“Ik ontvang een commissie bij aanmelding”

Hidden, vague, or delayed disclosures are not permitted.

4. DATA PROTECTION & GDPR COMPLIANCE

Affiliates must comply with the EU General Data Protection Regulation (GDPR).

Affiliates may not:

Share personal data with The Pink Socialite without lawful basis
Track users without proper consent
Use scraped, purchased, or unlawfully obtained data

If personal data is collected (e.g. email capture, tracking links, cookies):

A lawful basis is required
A privacy notice must be provided
Consent must be freely given, informed, and revocable

Affiliates act as independent data controllers for their own activities.

5. COMMISSION & COMPENSATION

Affiliates earn a commission (“Commission”) for valid customer referrals made via a unique affiliate link.

Commission Structure

Commission rate: 25%
Commission is calculated on net revenue actually received
No commission is paid on refunds, chargebacks, or fraudulent transactions

The Pink Socialite may adjust commission structures with reasonable notice.

6. PAYMENTS

Commissions are calculated on completed and valid customer transactions only.

Commission payouts are processed 60 days after The Pink Socialite has received and settled the payment from the referred customer. This delay allows for verification, refunds, chargebacks, and payment reversals.

Payouts are issued on a monthly basis, provided the commission balance has cleared the 60-day holding period and meets the minimum payout threshold.

Minimum payout threshold: €50
Amounts below the threshold roll over to the next payout cycle

Payments are made via the selected payout method and may be subject to processing or transaction fees.

Affiliates are responsible for any applicable taxes, VAT obligations, or reporting requirements under their local laws.

7. INTELLECTUAL PROPERTY

Affiliates receive a limited, revocable, non-exclusive license to use approved brand assets solely for Program participation.

Affiliates may not:

Modify logos or brand materials
Use branding in a misleading way
Register domains, social handles, or ads containing brand names

All rights remain with The Pink Socialite.

8. TERMINATION

The Pink Socialite may suspend or terminate participation:

For breach of this Agreement
For legal or reputational risk
For non-compliance with EU law
Or for convenience with reasonable notice

If termination results from breach:

Unpaid commissions may be forfeited

Upon termination, Affiliates must immediately cease promotion and remove affiliate links.

9. LIABILITY LIMITATION

To the maximum extent permitted under EU law:

The Pink Socialite is not liable for indirect or consequential damages
Liability is limited to commissions paid in the 12 months prior to the claim

Nothing in this Agreement limits liability where such limitation is prohibited by law.

10. INDEMNIFICATION

Affiliates agree to indemnify The Pink Socialite against claims, fines, or damages arising from:

Misleading promotion
Failure to disclose affiliate relationships
GDPR or consumer law violations
Affiliate misconduct

This obligation survives termination.

11. CONFIDENTIALITY

Affiliates must keep confidential any non-public business, customer, or pricing information and may not disclose such information without written consent.
